General Administration Committee
Endorses annual appraisal reports as well as annual increments and promotions; determine the granting of additional benefits, material and non-material, other than those stipulated in employment contracts; reviews and decides on amendments and/or development of company personnel regulations, and identifies the necessities and the administrative requirements of the company.
Asset Management and Investment Committee
Reviews approve or reject projects and investment opportunities for the company or others; reviews investments and projects on a periodic basis; and formulates the overall investment policies, subject to approval by the board. Furthermore, the Committee reviews endorse / or reject presented rationales for the acceptance or rejection of each credit application.
Finance/Credit Review and Provisions Committee
Reviews, discusses, responds to, and implements recommendations provided in Internal and External Audit Reports; discusses, and finalizes monthly financial statements/annual budgets of the company before final approval for implementation; reviews and discusses any changes to financial policies and procedures of the company before final approval of implementation. Furthermore, the Committee periodically reviews the credit portfolio to ascertain that adequate credit analysis has been done, credits were properly approved, granted or extended in accordance with the Company’s written credit standards and in compliance with Central Bank and CMA Regulations, and that loans are appropriately administered..
Corporate Finance & Credit Committee
Review, reject / recommend proposals to transact with related parties; review, endorse / or reject presented rationales for the acceptance or rejection of each credit application; review, endorse / recommend the proposed loan-to-value ratio for each credit application as well as propose interest rate for each credit application; review Direct Investment opportunities for the company’s own funds; review performance of direct investments and projects on a periodic basis; analyze, identify and approve the pricing of financial, technical and legal external due diligence services.
